Safecipher Terms of Service

1. About us
SafeCipher provides consultancy in PKI, cryptography, and related services.

2. Scope
These Terms apply to use of our website and to any proposals or Statements of Work (“SOW”). If there is a conflict, the signed SOW/contract prevails.
3. Website content
Information on this site is general and not legal, security, or compliance advice. Use it at your own risk.
4. Proposals and fees
Quotes are valid for 30 days unless stated otherwise. Fees, expenses, and payment terms are as set out in the proposal/SOW.
5. Invoicing & payment
Invoices are due within {30} days of invoice date unless otherwise agreed. We may suspend work for overdue amounts.
6. Client responsibilities
You will provide timely access, information, and personnel necessary to deliver the services safely and effectively.
7. Intellectual property
We retain IP in our pre-existing materials and methods. Deliverables created specifically for you will be licensed or assigned as set out in the SOW.
8. Confidentiality
Each party must keep the other’s confidential information secret and use it only for the engagement, subject to usual exceptions (public domain, required by law, already known, independently developed).
9. Data protection
Each party will comply with applicable data protection laws. Where we process personal data for you, we will do so under a data processing agreement if required.
10. Warranties & disclaimers
We provide services with reasonable skill and care. Except as stated in the SOW, we give no other warranties and disclaim implied warranties to the maximum extent permitted by law.
11. Liability
We are not liable for indirect or consequential loss, loss of profits, or loss of data. Our total aggregate liability arising out of an engagement is limited to the fees paid for the services giving rise to the claim, except for liability that cannot be limited by law (e.g., death/personal injury caused by negligence, fraud).
12. Termination
Either party may terminate an engagement per the SOW or for material breach not remedied within 14 days. Fees accrued remain payable.

Links to third-party sites are provided for convenience; we’re not responsible for their content or policies.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
15. Changes
We may update these Terms by posting a new version with an updated “Last updated” date.
